Unilateral Minimum Advertised Price (MAP) Policy

JoJo Couture, LLC, doing business as JoJo Modern Pets and American Pet Supplies (“JoJo”), has adopted the following Unilateral Minimum Advertised Price (“MAP”) Policy, which applies to all retailers, dealers, wholesalers, distributors, and resellers (“Dealers”) of JoJo-branded and affiliated products.

1. Policy Statement

To protect the integrity, brand value, and reputation of JoJo products, Dealers may not advertise any JoJo-branded product at a price greater than twelve percent (12%) below the Manufacturer’s Suggested Retail Price (“MSRP”).

This policy applies only to advertised prices, whether online or offline, and does not restrict the actual resale price charged at the point of sale.

Any advertised discount exceeding 12% off MSRP requires prior written approval from JoJo.

2. Scope of Advertising

This MAP Policy applies to all forms of advertising, including but not limited to:

Websites and e-commerce platforms
Online marketplaces
Email marketing and digital ads
Printed catalogs and mailers
In-store signage and displays
Trade shows, consumer exhibitions, and events
Social media, paid or unpaid
Any other electronic or printed media

3. Permitted Dealer Flexibility

JoJo recognizes that Dealers may use certain promotional tools, provided they remain compliant with this policy, including:

Online discount codes (not publicly visible)
Free shipping offers
Loyalty programs
Volume or bulk discounts
In-cart or checkout-only discounts not visible prior to checkout

If you are interested in selling JoJo products through or participating in any of the following, prior written approval is required:

a. Discount or deal-based websites (e.g., Groupon, LivingSocial)

b. Close-out, liquidation, bankruptcy, or going-out-of-business sales

c. Special promotional or clearance events

d. Third-party marketplaces or platforms not owned by the Dealer, including but not limited to Amazon, eBay, Etsy, or similar sites

4. Unilateral Nature of Policy

This MAP Policy is unilateral and non-negotiable.

No JoJo employee, agent, or sales representative is authorized to:

Discuss the pricing, sales practices, or compliance status of any Dealer
Negotiate exceptions to this policy outside of written approval from JoJo
Enforce this policy through agreement or discussion

Dealers are free to independently determine their own resale prices.

5. Monitoring and Enforcement

JoJo regularly monitors both online and offline sales channels to ensure compliance with this policy.

If a violation is identified, JoJo will issue a written notice.
The Dealer will have 48 hours from receipt of notice to correct the violation.
Failure to comply may result in actions including, but not limited to:
- Suspension of shipments
- Termination of Dealer relationship
- Revocation of authorization to resell JoJo products

JoJo reserves the right to modify or discontinue this policy at any time.

6. Acceptance

By purchasing, advertising, or reselling JoJo products, the Dealer acknowledges and agrees to comply with this MAP Policy.
